Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Clinic Cloud clinic-management software-as-a-service ("Service"), operated by [Company Name] (Reg. No. [SSM No.]) ("we", "us", "Provider"). By creating an account, starting a free trial, or using the Service, the clinic and its authorised users ("you", "Customer") agree to these Terms.

1. The Service

The Service provides cloud-based clinic management — appointments, billing and e-Invoice (MyInvois), clinical records, pharmacy, claims, teleconsult and related features — delivered on a subscription basis, per branch.

We may offer a free trial (currently 14 days). At the end of the trial, access requires an active paid subscription. We may modify or withdraw trial terms at any time.

5. Acceptable use

You agree not to: (a) use the Service unlawfully or to store data you are not authorised to process; (b) attempt to breach security, reverse-engineer, or resell the Service without written consent; (c) upload malware or interfere with the Service's operation; or (d) exceed the limits of your plan through automated means.

6. Customer data & ownership

As between the parties, you own all patient and clinic data you enter ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide the Service. Our processing of personal data is governed by our Privacy Policy and Data Processing Agreement. You are the data user/controller and remain responsible for obtaining patient consents and the lawful basis for processing.

7. Availability & support

We aim for high availability but do not guarantee uninterrupted service except as set out in a separate Service Level Agreement (SLA), if any. Planned maintenance will be notified where practicable.

8. Third-party services

The Service integrates with third parties (e.g. payment gateways, MyInvois/LHDN, messaging providers). Your use of those is subject to their terms; we are not liable for their acts or omissions.

9. Confidentiality & intellectual property

The Service, its software and documentation are our intellectual property and that of our licensors. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription. Each party will keep the other's confidential information secure.

10. Warranties & disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim implied warranties. The Service supports, but does not replace, clinical judgment; you are responsible for clinical decisions and for verifying outputs (including any AI-assisted features).

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss. Our aggregate liability arising out of the Service is limited to the fees you paid in the [12] months preceding the claim. Nothing limits liability that cannot be excluded by law.

14. Governing law

These Terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction, subject to any agreed dispute-resolution process.
